Service Terms / Evaluation Agreement

These terms apply to access and use of the FoundScript Timing Layer and any associated operating modes, APIs, evaluation environments, pilots or proof-of-concept services provided by FoundScript Ltd.

1. Nature of the service

FoundScript provides a timing control and stabilisation layer designed to influence execution behaviour in distributed and time-sensitive systems. The service may be made available in different operating modes, including admission-focused modes, depending on the evaluation or deployment context.

Access is typically provided for evaluation, testing or pilot purposes unless otherwise agreed in writing.

FoundScript may modify, suspend or discontinue access to the service at any time during an evaluation or pilot period.

Continued or production access requires a separate written commercial agreement.

4. Intellectual property

All intellectual property relating to the FoundScript Timing Layer, including its design, algorithms, operating modes and associated processes, remains the exclusive property of FoundScript Ltd.

No rights or licences are granted except as strictly necessary for the limited purpose of evaluation.

5. Data and confidentiality

FoundScript does not access or process customer business logic or application payload data. The service may process limited operational or timing metadata strictly for the purpose of service operation, diagnostics or evaluation.

Any information exchanged for the purpose of evaluation or support is treated as confidential and must not be disclosed without prior written consent.

6. Warranty disclaimer

The service is provided “as is” and “as available” for evaluation purposes. FoundScript makes no warranties or guarantees regarding performance, accuracy, availability, suitability or fitness for any particular purpose.

7. Limitation of liability

To the maximum extent permitted by law, FoundScript Ltd shall not be liable for any indirect, incidental, consequential or special damages arising from use of the service.

Total liability, if any, shall be limited to the amount paid for the relevant evaluation or access period. Where no fee is paid, total liability shall be limited to £1.

8. Termination

FoundScript may suspend or terminate access if these terms are breached or if continued access presents material risk to systems, customers or operational integrity.

9. Governing law

These terms are governed by the laws of England and Wales, unless otherwise agreed in a separate written contract.
